THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS AND PROHIBITS CLASS ACTION CLAIMS. ARBITRATION MEANS YOU WAIVE YOUR RIGHT TO A JURY TRIAL. YOU HAVE THE RIGHT TO OPT OUT OF ARBITRATION WITHIN 30 DAYS OF FIRST AGREEING TO THESE TERMS. 1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the website located at misoora.com, as well as any other websites or subdomains operated by MSR GROUP INC (the “Website”), and any related services, features, content, and products offered by MSR GROUP INC (“Misoora,” “we,” “us,” or “our”), a company incorporated in the State of Wyoming, United States, with its principal address at 30 N Gould St, Ste 4000, Sheridan, WY 82801.

These Terms apply to all visitors, registered users, and customers who access or use the Website, purchase products through the Website or authorized third-party platforms (such as Amazon), or use any features offered on the Website.

2. Eligibility

You must be at least 18 years of age to use this Website, create an account, or purchase products. By using the Website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

3. Acceptance of Terms

By accessing the Website, creating an account, or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, each of which is incorporated herein by reference.

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by updating the “Effective Date” at the top of this page or by sending notice to the email address associated with your account. Your continued use of the Website after any changes constitutes your acceptance of the revised Terms.

4.1 Creating an Account

You may create a personal account on the Website (“Account”) to access certain features, including order history, saved preferences, and the AI Skin Analysis feature. To register, you must provide accurate, current, and complete information, including your name, email address, and a password.

4.2 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account. You agree to notify us immediately at info@misoora.com if you suspect any unauthorized access to or use of your Account. We are not liable for any loss or damage arising from your failure to maintain the security of your credentials.

4.3 Account Termination

We reserve the right to suspend or terminate your Account at our sole discretion, without notice, if we believe you have violated these Terms or engaged in fraudulent, abusive, or unlawful activity. You may delete your Account at any time by contacting us at info@misoora.com.

5. Products and Orders

5.1 Product Information

We strive to display accurate product descriptions, images, ingredients, and pricing on the Website. However, we do not warrant that product descriptions or other content on the Website are accurate, complete, or error-free. Products may vary slightly from how they appear in images. Product formulations are subject to change; please refer to the product packaging for the most current and complete ingredient information.

Our products are cosmetics regulated under the Federal Food, Drug, and Cosmetic Act (FD&C Act), as amended by the Modernization of Cosmetics Regulation Act of 2022 (MoCRA). Our products are intended for external use only and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Any statements made about our products have not been evaluated by the U.S. Food and Drug Administration unless otherwise specified, and any results described may not necessarily occur in all individuals.

Please use all products strictly in accordance with their instructions, precautions, warnings, and guidelines provided on the packaging. Always check each product’s ingredient list prior to use to avoid potential allergic reactions. Do not use any product past its expiration date as indicated on the packaging. Do not use any product if the packaging appears damaged, tampered with, or compromised in any way.

Our products are not intended for use in medical, life-saving, or life-sustaining applications.

5.2 Ordering

When you place an order through the Website, you are making an offer to purchase the selected products at the stated price. We reserve the right to accept or decline your order for any reason, including but not limited to product unavailability, errors in pricing or product descriptions, or suspected fraud.

A binding contract is formed when we send you an order confirmation email. We reserve the right to cancel orders and issue full refunds at our discretion.

5.3 Third-Party Marketplaces

Our products may also be available for purchase through third-party platforms, including Amazon. Purchases made through third-party platforms are subject to the terms and conditions of those platforms, and we are not responsible for any issues arising from transactions conducted outside of our Website. We encourage you to review the applicable platform’s terms before purchasing.

5.4 Pricing and Payment

Prices are subject to change without notice. Applicable taxes will be calculated and added at checkout based on your shipping address. Payment must be made in full at the time of purchase through the accepted payment methods displayed at checkout.

We use secure third-party payment processors and do not store your full payment card information on our servers.

6. AI Skin Analysis Feature

THE AI SKIN ANALYSIS FEATURE IS FOR INFORMATIONAL AND COSMETIC GUIDANCE PURPOSES ONLY. IT DOES NOT CONSTITUTE MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS CONSULT A QUALIFIED DERMATOLOGIST OR HEALTHCARE PROVIDER FOR MEDICAL SKIN CONCERNS.

6.1 Description of the Feature

Misoora offers an AI-powered skin analysis tool (“AI Feature”) that allows registered users to upload photographs of their skin to receive cosmetic insights, such as visual tracking of skin texture, tone, and appearance over time. The AI Feature uses automated image analysis to identify cosmetic markers (e.g., visible pores, uneven skin tone, surface texture) and provide product recommendations.

6.2 No Medical Advice

The AI Feature is not a medical device and does not provide medical diagnoses or treatment recommendations. Results generated by the AI Feature are for informational and cosmetic purposes only. Misoora makes no representations or warranties as to the accuracy, reliability, or completeness of any analysis generated by the AI Feature. Individual results may vary.

6.3 Collection and Use of Facial Images

By using the AI Feature, you explicitly consent to the collection, processing, and analysis of the photographs you upload, which may include biometric data derived from facial images. Specifically:

  • Your uploaded photos may be processed by automated systems to analyze skin appearance.

  • Images and derived data are used solely to provide you with AI-generated cosmetic insights.

  • We do not use your facial images for identity verification, advertising targeting, or sale to third parties.

  • Images and biometric data derived therefrom will be retained only for as long as necessary to provide the service or as required by law. You may request deletion at any time (see Section 8.5).

By uploading a photo to the AI Feature, you represent that you have the right to submit such image and that it depicts only yourself.

6.4 Biometric Data Notice (Illinois Residents)

If you are a resident of Illinois, the use of the AI Feature involves the collection of biometric identifiers and/or biometric information as defined under the Illinois Biometric Information Privacy Act (“BIPA”). By enabling the AI Feature, you provide your written, informed consent to the collection and use of such biometric data as described in these Terms and our Privacy Policy. Your biometric data will not be sold, leased, traded, or otherwise disclosed without your consent except as required by law. Data will be destroyed within 3 years of collection or within 3 years of your last interaction with us, whichever comes first.

6.5 Washington State Residents – Consumer Health Data

If you are a Washington State resident, skin analysis data derived from your photos may constitute “consumer health data” under the Washington My Health MY Data Act (MHMDA). 6.6 Your Rights Regarding AI Feature Data

You may request access to, correction of, or deletion of your uploaded photos and any derived data at any time by contacting us at info@misoora.com. Upon a verified deletion request, we will delete your images and derived biometric data within the time required by applicable law.

6.7 Limitations

We reserve the right to modify, suspend, or discontinue the AI Feature at any time without notice. We are not liable for any decisions made based on AI Feature results. The accuracy of AI-generated analysis depends on the quality, lighting, and clarity of uploaded photographs; results may vary based on image quality and individual skin characteristics.

7. User Content

The Website may allow you to submit reviews, comments, photographs, videos, profile images, or other content (“User Content”). By submitting User Content, you grant MSR GROUP INC and its affiliates, licensees, successors, assigns, and third-party service providers (collectively, “Licensed Parties”) a worldwide, irrevocable, perpetual, non-exclusive, royalty-free, fully transferable, and sublicensable right and license to use, copy, reproduce, modify, adapt, publish, translate, distribute, publicly display, publicly perform, create derivative works from, and otherwise exploit such User Content – in whole or in part – for any lawful purpose, including advertising, marketing, and promotional activities, across any media now known or hereafter developed, including on third-party platforms such as social media, paid advertising channels, email communications, and e-commerce marketplaces, without additional compensation or notice to you.

You also grant Licensed Parties the right to use your username, name, image and likeness in connection with any use of your User Content.

You represent and warrant that: (a) you own or control all rights in your User Content and have obtained all necessary consents from individuals depicted therein; (b) your User Content does not infringe any third-party intellectual property, privacy, or publicity rights; (c) your User Content does not contain false or misleading information; and (d) you are at least 18 years of age.

We reserve the right, but not the obligation, to remove any User Content that violates these Terms or that we find objectionable, at our sole discretion.

8. Intellectual Property

All content on the Website, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of MSR GROUP INC or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content on the Website without our prior written consent. Personal, non-commercial use of the Website is permitted provided you do not remove any copyright or other proprietary notices.

9. Prohibited Uses

You agree not to use the Website to:

  • Violate any applicable local, state, federal, or international laws or regulations;

  • Engage in fraudulent, deceptive, or misleading conduct;

  • Upload or transmit viruses, malware, or any other harmful code;

  • Attempt to gain unauthorized access to any part of the Website, server, or database;

  • Use automated bots, scrapers, or other automated tools to access the Website without our written consent;

  • Impersonate any person or entity or misrepresent your affiliation with any person or entity;

  • Collect or harvest personal information of other users;

  • Upload User Content that is defamatory, obscene, or violates the rights of third parties;

  • Use the AI Feature on photographs depicting individuals under the age of 18 or individuals who have not given their consent.

10. FDA and Medical Disclaimer

Misoora products are cosmetics as defined under the Federal Food, Drug, and Cosmetic Act (FD&C Act). These products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) to diagnose, treat, cure, or prevent any disease or medical condition.

Product descriptions, ingredient information, and results discussed on this Website are for informational and cosmetic purposes only. Always perform a patch test before full use of any new skincare product. If you experience irritation, allergic reaction, or any adverse effect, discontinue use immediately and consult a healthcare professional.

We recommend consulting a dermatologist or licensed skincare professional before introducing new products into your routine, particularly if you have sensitive skin, a skin condition, or are pregnant or breastfeeding. If you are currently using prescription skincare medications – including but not limited to retinoids, topical antibiotics, or corticosteroids – consult your physician or dermatologist before incorporating our products into your routine, as interactions may affect skin sensitivity or product efficacy. Do not apply our products to broken, wounded, or severely irritated skin without prior medical advice.

11. Disclaimer of Warranties

THE WEBSITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MISOORA DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that (a) the Website will be uninterrupted or error-free; (b) defects will be corrected; (c) the Website or servers are free of viruses or other harmful components; or (d) the results obtained from using the Website, products, or AI Feature will be accurate or reliable.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MSR GROUP INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE WEBSITE, OUR PRODUCTS, OR THE AI FEATURE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. If you are a consumer in such a jurisdiction, some of the above limitations may not apply to you.

15. Indemnification

You agree to indemnify, defend, and hold harmless MSR GROUP INC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Website, your violation of these Terms, or your violation of any rights of a third party.

16. Privacy

Your use of the Website is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy describes how we collect, use, store, and disclose your personal information, including biometric data collected through the AI Feature. 

By using the Website, you consent to the collection and use of your personal information as described in our Privacy Policy. If you do not agree with our Privacy Policy, please do not use the Website.

17. Governing Law, Dispute Resolution, and Arbitration

17.1 Governing Law

These Terms and any dispute arising out of or related to them or your use of the Website shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Notwithstanding the foregoing, mandatory consumer protection provisions of applicable law in your jurisdiction of residence shall apply to the extent they cannot be waived by contract.

17.2 Informal Resolution

Before initiating any formal dispute proceeding, you agree to contact us at info@misoora.com and provide a written description of the dispute, your name, and contact information. We will attempt to resolve the dispute informally within 30 days of receipt. If the dispute is not resolved within that period, either party may proceed with formal dispute resolution as described below.

17.3 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

You and MSR GROUP INC agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Website, or the purchase of our products – including disputes about the validity, applicability, or enforceability of this arbitration provision – shall be resolved exclusively through final and binding individual arbitration, rather than in court, except as set forth in Sections 17.5 and 17.6 below.

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English. You may choose to conduct the arbitration by telephone, videoconference, or written submissions. If an in-person hearing is required, it shall take place in Sheridan County, Wyoming, or, at your election, in the county where you reside.

The arbitrator shall have the authority to award any relief that a court of competent jurisdiction could award, including monetary damages, injunctive relief, and declaratory relief. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Filing fees and arbitrator compensation shall be allocated in accordance with the AAA Consumer Arbitration Rules. We will pay all AAA filing fees for claims under $10,000 unless the arbitrator determines your claim is frivolous.

17.4 Class Action Waiver

YOU AND MSR GROUP INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of class or representative proceeding. If this class action waiver is found unenforceable as to a particular claim, then that claim shall be severed from arbitration and proceed in court, while all other claims remain subject to arbitration.

17.5 Opt-Out Right

You have the right to opt out of binding arbitration within 30 days of the date you first agree to these Terms by sending written notice to info@misoora.com with the subject line “Arbitration Opt-Out” and including your name, email address, and a clear statement that you wish to opt out. If you opt out, any disputes not resolved through informal resolution under Section 17.2 shall be submitted to the courts of competent jurisdiction in your state of residence or in Sheridan County, Wyoming.

17.6 Exceptions to Arbitration

The following claims are excluded from the arbitration agreement and may be brought in any court of competent jurisdiction:

  • Claims for emergency injunctive or other equitable relief to prevent irreparable harm;

  • Claims relating to the infringement, protection, or validity of intellectual property rights (including patents, copyrights, trademarks, and trade secrets);

  • Claims that may be brought in small claims court in your jurisdiction, provided the claim remains in small claims court and is brought only on an individual basis.

17.7 Time Limitation on Claims

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR OUR PRODUCTS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION AROSE. CLAIMS NOT FILED WITHIN THIS PERIOD ARE PERMANENTLY BARRED.

18. Third-Party Links and Services

The Website may contain links to third-party websites or services, including social media platforms and our Amazon storefront. These links are provided for your convenience only. We do not control and are not responsible for the content, privacy practices, or terms of any third-party websites. Accessing third-party links is at your own risk, and we encourage you to review the terms and privacy policies of any third-party sites you visit.

19. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page and, where appropriate, notify you by email. Your continued use of the Website after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must discontinue use of the Website.

20. Severability and Waiver

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Misoora.

21. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and MSR GROUP INC with respect to your use of the Website and supersede all prior and contemporaneous agreements, representations, and understandings.
